Acceptance of Terms
By accessing or using the websites, services, and software provided by Dexal ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.
Services Provided
Dexal provides a fully managed operations platform (directory, messaging, scheduling, tasks, files, and admin) delivered as software-as-a-service, plus a desktop and mobile app your team uses to access it. We host and operate the platform — there is no server for you to install, configure, or maintain. Core and Pro plans are purchased and provisioned directly through our website. Enterprise plans add custom work scoped and delivered under a separate statement of work.
Subscriptions & Billing
Core and Pro plans are billed monthly in advance to the payment method you provide at checkout, processed by our third-party payment processor (Stripe). Subscriptions renew automatically each month until cancelled. You can cancel anytime from your account; cancellation takes effect at the end of the current billing period, and we do not provide prorated refunds for partial months except where required by law. Prices shown on our website may change; we will give notice before a price change takes effect for an existing subscription.
The Private AI Add-on
AI is an optional, separately priced add-on you can enable or disable at any time from your organization's Admin settings — it is never required to use the platform. When enabled, your organization's data processed by the AI add-on is handled in an isolated context reserved for your organization and is not used to train any AI model, ours or a third party's. Organizations with Enterprise plans may instead run AI on infrastructure they control; that arrangement is defined in the applicable statement of work. Use of Website & App
You may use our website for informational purposes, to submit inquiries, and to purchase a subscription. You may use the Dexal app only in connection with an active subscription and in accordance with your organization's admin-assigned role and permissions. You agree not to misuse the website or app, attempt unauthorized access, or use either for any illegal or unauthorized purpose.
Storage & Fair Use
Core includes 50GB and Pro includes 250GB of file storage per organization. Usage beyond your plan's included amount is billed at $5/mo per additional 50GB. We will notify you before billing any storage overage.
Intellectual Property
All content on our website and app, including text, graphics, logos, and software, is the property of Dexal or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent. You retain ownership of the content and data your organization creates within Dexal.
Limitation of Liability
Dexal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website, app, or services. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.
Warranties
Our services are provided "as is" and "as available." We do not warrant that our services will be uninterrupted or error-free, except as explicitly stated in a separate written agreement. We reserve the right to modify, suspend, or discontinue any service at any time, with reasonable notice for paying customers where practical.
Confidentiality & Data Handling
We take your data privacy seriously. Your organization's workspace data is isolated from every other organization on our platform. We do not access, use, or share your organization's content except as needed to operate the service, respond to support requests, or as you direct. Governing Law
While our service is available globally, these terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles, reflecting Dexal LLC's state of formation. Any disputes arising under these terms shall first be pursued through good-faith negotiation between the parties.
Changes to Terms
We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the new terms.
